1. Seller and scope
These Terms govern the purchase and use of the Football Transfer Decision Atlas — Baseline Edition 2026/27 (the “Product”) from Hirozumi Taima, an individual proprietor in Japan trading as Soriv (“Soriv”, “we”, “us”). Website: sorivsports.com. Contact: research@sorivresearch.com.
The Product is offered for business or professional use only. The Customer is the single business customer identified in the order, whether a legal entity or a sole proprietor. If the purchaser is acting on behalf of a legal entity, the purchaser represents that they are authorized to bind that entity.
2. Product
The Product is a fixed, PDF-only digital research / decision-support reference. It is designed to structure transfer-related checks, workflow priorities, Evidence Boundaries and questions for use by the Customer. The Customer may apply the Atlas to its own player and deal facts, including through a Customer-approved AI system, subject to these Terms and the Product instructions.
Soriv does not separately provide a scouting report, automated valuation tool, player recommendation, live negotiation service, bespoke player-, club- or transfer-specific analysis service, consulting engagement, custom research service, or ongoing analyst-support service as part of the purchase.
The purchase relates only to the Baseline Edition 2026/27 unless Soriv agrees otherwise in writing.
3. Price, payment, and taxes
The current Founding Price is US$1,999 for a one-time purchase and is limited to the first five completed purchases at that price. The Standard Price is US$2,999. The current Founding Price is approximately 33% below the Standard Price. Soriv may change or withdraw future promotional pricing prospectively, subject to any price already agreed for a completed purchase. Payment is processed through Stripe-hosted online payment unless otherwise agreed in writing. Payment is due at purchase. Applicable taxes, if legally required, may be added, collected, reported, or otherwise handled as required by applicable law. Nothing on this page represents that a particular tax treatment applies to a Customer.
The Customer must provide accurate billing-country, business-status, address, and tax information reasonably required to determine the applicable tax treatment. Where a VAT, sales-tax, or similar registration number is provided, the Customer is responsible for ensuring that it is accurate and belongs to the purchasing business. Where applicable law requires the Customer to account for tax under a reverse-charge or similar mechanism, the Customer is responsible for doing so. If a payment is subject to withholding tax, Soriv and the Customer will reasonably cooperate in providing tax-residency or treaty documentation required by law.
Where mandatory French business-to-business payment rules apply to a deferred or invoiced payment, mandatory late-payment interest and any statutory recovery indemnity apply notwithstanding these Terms.

4. Digital delivery
Electronic PDF delivery occurs after successful payment verification. A browser redirect or success page is not itself proof of successful payment and does not itself entitle the Customer to delivery.
The Customer is responsible for providing an accurate purchaser email address and business-customer name and, where applicable, the legal-entity name. Soriv may pause delivery where payment status, authorization, fraud screening, or purchaser identity requires reasonable verification.
5. Licence grant
Subject to payment and these Terms, Soriv grants the Customer a non-exclusive, non-transferable licence to use the Product internally within the single business customer identified in the order.
The Customer may store the PDF on its internal shared drive and permit reasonable internal use by personnel within that business customer, including recruitment, transfer, analytics, sporting-management, executive, and board functions. The Customer may include reasonable excerpts in internal materials.
Reasonable excerpts may be shared with external professional advisers who are subject to confidentiality obligations and who require those excerpts to advise the Customer. Such sharing does not transfer or sublicense the Product.
6. Affiliate and group use
The licence does not automatically extend to affiliates, parent companies, subsidiaries, sister companies, portfolio companies, group companies, external clients, or other separate businesses or legal entities. Group-wide or affiliate use requires separate written permission from Soriv.
7. Prohibited reuse
The Customer must not resell, sublicense, publish, publicly redistribute, or make the full PDF publicly accessible. The Customer must not provide the Product as an external client deliverable or use a substantial reproduction or extraction of the Product to create a competing research product, database, or question library that substitutes for access to the Atlas.
The Customer must not use extraction, automation, AI, or any other method to reproduce or externally distribute a substantial part of the Product in a way that acts as a substitute for access to the Product.
8. AI use
The Customer may use a Customer-approved AI system with the Product for internal passage retrieval, question routing, internal analysis, evidence summarization and other use permitted by the Product workflow. AI use does not expand the licence. The Customer remains responsible for the security, confidentiality, data-governance rules, and permitted use of any system into which it uploads the Product or case information.
For Atlas-supported work, the Customer should keep the Full Atlas and the relevant current case context available to the AI. Follow-up questions do not cancel the Product’s Evidence Boundary, Responsibility Boundary, case-fact rules, or restrictions on invented facts, live-player euro rules, transaction recommendations and prescriptive live negotiation strategy. The latest accepted case state should be used as the working baseline. If the conversation becomes slow, unstable or interrupted, or if a new chat or another AI system is used, the Full Atlas should be attached again together with the latest material case state, latest relevant Atlas output and material updates. The full old transcript should not be carried over unless needed to resolve a material conflict. An AI response generated from partial context alone should not be treated as an Atlas output merely because the Atlas was used earlier.
The Customer must not intentionally instruct an AI system to ignore, override, bypass, remove or materially alter the Atlas instructions, boundaries or Prompt restrictions in order to obtain an output that the applicable Atlas Prompt expressly prohibits. If the Customer does so, any resulting output falls outside the intended use of the Product and must not be treated as an Atlas-supported output. Soriv does not provide, endorse or validate such output. The Customer remains responsible for its use of AI systems and for all verification, specialist review, approvals, negotiations and final transaction decisions.
AI-generated output must not be used to reconstruct, reproduce, or externally redistribute a substantial part of the Atlas. AI output should not be treated as verified fact merely because the Atlas was used as an input.
9. Support boundary
Standard support is email-only through research@sorivresearch.com. It covers payment or order issues, invoice or receipt questions, file-delivery issues, corrupted or incomplete files, licence or purchasing-Terms questions, clear typos, broken evidence-source links, and factual or citation defect reports.
Support does not include bespoke player-, club- or transfer-specific analysis; bespoke evidence searches; custom literature reviews; custom valuations; scouting recommendations; negotiation advice; consulting; ongoing analyst access; phone support; or Zoom/Teams support.
Routine support does not require live player, medical, privileged, confidential negotiation, or other sensitive transaction information. When reporting a Product defect, the Customer should use the minimum information necessary, such as the page, decision-check reference or source reference and a description of the suspected issue.
10. Research limitations
The Product is a research / decision-support reference, not a guarantee of valuation accuracy, transfer success, sporting performance, financial performance, availability, injury outcome, negotiation outcome, or any other transaction result. It does not decide whether a transfer should proceed, be rejected, be approved, or be signed, and it does not determine a universally correct transfer fee, opening offer, reservation price or walk-away price.
Atlas status labels and Prompt outputs, including CONFIRMED, OPEN, UNKNOWN, DISPUTED and N/A, describe the supported state of the Atlas analysis only. They do not certify that diligence is complete, provide professional clearance, or recommend that a transaction proceed.
Evidence may be incomplete, mixed, context-dependent, or superseded after the Product’s research cutoff. Actual paid transfer fees, public estimated market values, wages, performance outcomes, injury or availability outcomes, and other result types must not be treated as interchangeable merely because they appear in related research.
The Customer remains responsible for its own decisions, independent verification, due diligence, legal review, medical review, tax and regulatory review, contractual review, financial analysis, scouting, negotiations, and use of transaction-specific facts.
11. Corrections, replacements, and refunds
A confirmed duplicate charge will be refunded. For a delivery defect, Soriv will first provide replacement delivery. For a confirmed, correctable material Product defect, Soriv will first seek to correct or replace the affected Product.
Soriv’s target period for providing a materially corrected version after confirming a correctable material Product defect is 10 business days. If Soriv confirms a material Product defect and cannot provide a materially corrected version within that period, the affected Product fee may be refunded.
If Soriv identifies a material defect or boundary problem that could materially affect safe or accurate use of the Product, Soriv may temporarily pause new sales or delivery of the affected version while it investigates and may issue a correction, replacement file or customer notice where reasonably appropriate.
After digital delivery, a change of mind does not automatically entitle the Customer to a refund. Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded under mandatory applicable law.
12. Edition and update policy
The Baseline Edition 2026/27 is a one-time purchase. It does not automatically include future annual editions, continuous monitoring, later research updates, customer-specific updates, a subscription, or ongoing analyst support.
Soriv may provide corrections for clear factual, citation, typographical, broken-link, workflow-boundary, or file defects. A corrected file may carry a later internal file version while remaining the same purchased edition. A correction does not convert the Product into a subscription or monitoring service.
13. Intellectual property
Except for third-party source material and rights identified within the Product, Soriv retains all copyright, database rights, compilation rights, and other intellectual-property rights in the Product, its structure, original text, frameworks, question libraries, and associated materials. The licence in these Terms grants use rights only and does not transfer ownership.
14. Privacy and processors
Order, billing, delivery, fraud-prevention, and support data are handled as described in the Privacy Policy. Payments are processed by Stripe. Soriv may also use email, hosting/CDN, file-delivery, accounting, and security providers as necessary to operate the transaction.
15. Warranties
To the maximum extent permitted by applicable law, the Product is provided as a fixed research reference without any warranty that it will be complete for every transaction, suitable for a particular player or club, or sufficient as a substitute for the Customer’s professional judgment and due diligence. Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded.
16. Limitation of liability
To the maximum extent permitted by applicable law, Soriv will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profit, revenue, opportunity, anticipated savings, goodwill, or business arising from or related to the Product or its use.
To the maximum extent permitted by applicable law, Soriv’s aggregate liability arising out of or relating to the affected Product will not exceed the amount actually paid by the Customer for that affected Product.
Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by mandatory applicable law.
17. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Japan, without prejudice to any mandatory law that applies regardless of this choice. Subject to such mandatory law, the Nagoya District Court will have exclusive first-instance jurisdiction over disputes arising out of or relating to these Terms or the Product.
18. Acceptance
By completing the Stripe-hosted purchase and accepting the Terms at checkout, the Customer agrees to these Terms and confirms that the purchase is for business or professional use. A sole proprietor purchases for their own business; a purchaser acting for a legal entity confirms that they are authorized to purchase on behalf of that entity.
19. Language
The Product itself is supplied in English. Soriv may provide French-language purchase and legal information for customers in France. The English and French versions are intended to convey the same commercial terms. If there is a discrepancy, the English version governs to the extent permitted by applicable law, without prejudice to any mandatory rule requiring French-language information.
